RBI Rejects Tata Sons’ CIC Exit, Listing Likely
The Reserve Bank of India (RBI) has rejected Tata Sons’ application to exit the Core Investment Company (CIC) category, potentially clearing the way for a mandatory stock market listing. According to a report by Business Standard, the RBI informed Tata Sons through a letter dated September 11, 2026, that its request to voluntarily surrender its CIC registration could not be accepted.
Tata Sons was classified as an upper-layer NBFC by the RBI in September 2022 and was required to list its shares within three years. However, the September 2025 deadline passed without a listing. Tata Sons had applied in 2024 to surrender its CIC registration after becoming debt-free, but the application remained under consideration. The RBI had also retained Tata Sons on its upper-layer NBFC list in August 2026.
The listing has become a contentious issue within the Tata Group. Tata Trusts, which holds around 66% of Tata Sons, has opposed a public listing, while the Shapoorji Pallonji Group, the second-largest shareholder, supports it as a way to raise funds and potentially reduce debt. A listing could also increase transparency and provide Tata Sons access to capital, although some senior figures have expressed concerns that it could affect the group’s long-standing structure and philanthropic objectives.
