Pfizer Secures $10 Billion Deal to Acquire Obesity Drug Developer Metsera, Ending Bidding War with Novo Nordisk

Pfizer Inc. has agreed to acquire obesity drug developer Metsera for $10 billion, concluding a week-long bidding battle with Novo Nordisk. The deal, valued at $86.25 per share, includes $65.60 in cash and a contingent value right of up to $20.65 per share. Metsera’s board has recommended that shareholders approve the merger, which is expected to close soon after a November 13 meeting. The acquisition marks Pfizer’s renewed push into the booming weight-loss drug market after earlier setbacks in developing obesity treatments.

The competition between Pfizer and Novo Nordisk sent Metsera’s shares soaring nearly 60% over the past week, boosting its market capitalization to $8.75 billion. Novo’s bid was derailed after the U.S. Federal Trade Commission raised antitrust concerns, citing potential legal and regulatory risks if the Danish company pursued the acquisition. Pfizer, meanwhile, revised its offer, gaining Metsera’s approval and solidifying its position in the growing GLP-1 therapeutic sector.

Analysts say Pfizer’s high valuation reflects confidence in Metsera’s experimental drugs, including MET-097i, a GLP-1 injectable, and MET-233i, an amylin-mimicking therapy—both expected to generate around $5 billion in combined peak sales. Bernstein analyst Courtney Breen cautioned that the deal’s success hinges on optimistic long-term revenue assumptions amid pricing uncertainty in the GLP-1 market. Former Pfizer R&D head John LaMattina likened the acquisition to Pfizer’s landmark 2000 takeover of Warner-Lambert, saying Metsera’s pipeline could prove pivotal to Pfizer’s future growth.
