Hindustan Coca-Cola Files for IPO in India Through Stake Sale
Hindustan Coca-Cola Holdings, India’s largest Coca-Cola bottler, has filed draft papers for an initial public offering (IPO), according to documents released on Saturday. The proposed offering will consist entirely of an offer for sale by its majority shareholder, Hindustan Coca-Cola Overseas Holdings, meaning the company will not receive any fresh funds from the listing. The majority shareholder plans to sell up to 997.5 million shares, reducing its stake from 60% to approximately 45%. Jubilant Beverages, which holds the remaining 40% stake, will not participate in the share sale. The IPO’s price band has not yet been announced.
The proposed listing adds to a growing trend of multinational companies using India’s stock market to monetise their investments through public share offerings. Hindustan Coca-Cola Holdings reported revenue of ₹11,549 crore ($1.23 billion) for the financial year ended March 2026, marking a 9.4% decline from the previous year. The company attributed the drop to the transfer of certain territories to other Coca-Cola bottlers as part of its refranchising programme.
Hindustan Coca-Cola Holdings bottles and distributes several popular beverage brands, including Coca-Cola, Thums Up, Sprite and Maaza, across 10 Indian states and four Union Territories, primarily in southern and western India. Reuters had previously reported that Coca-Cola appointed JPMorgan and Citi in July to manage the planned listing. The draft prospectus now names six banks responsible for managing the proposed share offering, which is expected to be a significant development in India’s consumer goods and stock market sectors.
