SEBI Fines Suzlon Energy Over Financial Disclosure Lapses
India’s capital markets regulator, the Securities and Exchange Board of India (SEBI), has imposed a penalty of ₹159.5 million on Suzlon Energy for alleged lapses in its financial statements and disclosures. The regulator also levied fines of ₹57.5 million and ₹54.5 million on the company’s chairman and vice-chairman, respectively, holding them accountable for overseeing operations during the period in which the alleged misreporting occurred. Additional penalties were imposed on the company’s former and current chief financial officers.
According to SEBI, Suzlon’s disclosures related to material transactions created a misleading impression of the company’s financial strength, potentially affecting market integrity and investor confidence. The regulator stated that certain transactions involving subsidiaries and associated entities resulted in misstated financial accounts and inflated net worth figures. The action follows an investigation triggered by an anonymous complaint filed in 2019.
SEBI said the violations were not isolated accounting errors but part of a series of interconnected transactions carried out over multiple financial years. The regulator cited the routing of ₹12 billion into Suzlon Gujarat Wind Park Ltd through multiple back-to-back entries without actual cash inflows, as well as the sale of a business unit to a subsidiary for ₹2 billion despite a book value of only about ₹77 million. While Suzlon argued that its consolidated financial statements were largely unaffected, SEBI maintained that standalone financial results are equally important for investors and must accurately reflect the true nature of material transactions.
