Gautam and Sagar Adani to Pay $18 Million to Settle SEC Fraud Charges
Gautam Adani and his nephew, Sagar Adani, have agreed to pay a combined $18 million to settle a civil fraud lawsuit brought by the US Securities and Exchange Commission (SEC). According to a filing in the US Eastern District of New York on May 14, 2024, Gautam Adani will pay $6 million, while Sagar Adani will pay $12 million. The settlement, which remains subject to judicial approval, allows the Adanis to resolve allegations of making false and misleading statements regarding Adani Green Energy’s anti-bribery compliance without officially admitting or denying the charges.
The SEC’s legal action, initiated in November 2024, centered on allegations that the executives misled investors during a $750 million bond offering by concealing a scheme to bribe Indian officials for solar power contracts. While the SEC did not sue the Adani Group conglomerate itself, the regulator emphasized that at least $175 million was raised from US investors under these allegedly false pretenses. The defense had initially argued for a dismissal based on jurisdictional grounds before reaching this financial agreement to end the litigation.
In a parallel development, the US Justice Department is reportedly moving to drop related criminal fraud charges against Gautam Adani. This potential shift follows reports that Adani proposed a $10 billion investment into the American economy, aimed at creating 15,000 jobs. Resolving these legal hurdles is viewed as a critical step for the Adani Group to restore its standing in international capital markets and proceed with its global expansion strategy.
